1. Agreement to Terms

By accessing or using the GEIST Platform (including LifeGeist, TalentGeist, DermGeist, DocGeist, and other applications) operated by Webpeak Technologies Limited ("Company", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to all of these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and Webpeak Technologies Limited.

2. Description of Services

The GEIST Platform provides AI-powered productivity, knowledge management, and specialized applications including but not limited to:

• LifeGeist: Personal productivity and life management tools
• TalentGeist: Employee performance management for organizations
• DermGeist: Educational tools for dermatology professionals
• DocGeist: Document management and knowledge base tools

3. Account Registration

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

You must be at least 13 years old to create an account. If you are under 18, you must have parental or guardian consent to use our services.

4. Acceptable Use

You agree NOT to:

• Use the services for any unlawful purpose or in violation of any laws
• Attempt to gain unauthorized access to any systems or networks
• Interfere with or disrupt the services or servers
• Upload malicious code, viruses, or harmful content
• Impersonate any person or entity
• Harvest or collect user information without consent
• Use the services to send spam or unsolicited communications
• Reverse engineer, decompile, or disassemble any part of the services
• Use AI features to generate harmful, illegal, or misleading content

5. Intellectual Property

Our Content

The services and their original content (excluding content provided by users), features, and functionality are owned by Webpeak Technologies Limited and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Content

You retain ownership of any content you submit, post, or display on or through the services. By submitting content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your content solely for the purpose of operating and providing the services to you.

6. AI-Powered Features

Our services include AI-powered features. By using these features, you acknowledge that:

• AI outputs are generated automatically and may contain errors
• AI suggestions are not professional advice (medical, legal, financial, etc.)
• You are responsible for reviewing and verifying AI-generated content
• We use third-party AI providers (Google Gemini/Vertex AI) subject to their terms
• Your data may be processed by AI systems to provide personalized features

7. Subscription and Payment

Billing

Some services require a paid subscription. By subscribing, you agree to pay all fees associated with your subscription plan. Fees are billed in advance on a monthly or annual basis.

Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be provided for partial billing periods
• Your data will be retained for 30 days after cancellation

Price Changes

We may modify subscription pricing with 30 days notice. Continued use of the services after a price change constitutes acceptance of the new pricing.

8. TalentGeist - Enterprise Terms

Organizations using TalentGeist for employee performance management agree to additional terms:

• You are responsible for ensuring appropriate consent from employees
• You must comply with all applicable employment and privacy laws
• Employee data remains under your control and responsibility
• We process employee data solely as a data processor on your behalf
• A Data Processing Agreement (DPA) is available upon request

9. DermGeist - Educational Use

DermGeist is designed for educational purposes only. Users acknowledge that:

• Content is for educational and informational purposes only
• DermGeist does not provide medical diagnoses or treatment recommendations
• AI-generated insights are not a substitute for professional medical judgment
• Users must not input or store actual patient data
• Healthcare professionals remain solely responsible for clinical decisions

11. Limitation of Liability

To the maximum extent permitted by applicable law, Webpeak Technologies Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.

Our total liability for any claims arising from or related to these Terms or the services shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless Webpeak Technologies Limited and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the services, violation of these Terms, or violation of any rights of another.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination:

• Your right to use the services will immediately cease
• We may delete your account and data after 30 days
• You may request data export before termination takes effect
• Provisions that should survive termination will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in Dublin, Ireland for resolution of any disputes.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by:

• Posting the updated Terms on our website
• Sending an email to your registered address
• Displaying a notice in the application

Changes will be effective 30 days after posting. Your continued use of the services after the effective date constitutes acceptance of the modified Terms.
